01Definitions
- YekTech: the sole proprietorship of Alan Mohammad, located at Binnen 46, 6535 TN Nijmegen, the Netherlands.
- Client: the company or person who gives YekTech an assignment.
- Assignment: the work YekTech does for the client, such as a website, web app, logo, print, hosting, visibility or maintenance.
- Quote: YekTech's proposal describing the work, the price and the planning.
02When do these terms apply?
These terms apply to all quotes and assignments of YekTech. Different agreements only apply if we have recorded them together in writing (email included).
The client's own terms do not apply, unless YekTech has agreed to them in writing.
03Quote and assignment
A quote is valid for 30 days. The assignment starts as soon as the client has approved the quote in writing or by email.
The quote states what will be made, what it costs and when it will be ready. Anything not in the quote is not part of the assignment.
04Carrying out the work
YekTech carries out the assignment as well as possible, with expertise and care. This is an obligation of effort: YekTech does its best to achieve the agreed result.
The client provides what is needed on time, such as texts, photos, logos, login details and feedback. If this comes later, the planning may shift.
The client makes sure they have the right to use the texts, photos and other materials they supply.
YekTech may engage other parties for part of the work, such as a hosting company or print shop.
05Changes and additional work
For a website or design, two feedback rounds are included, unless the quote states otherwise.
Does the client want more or something different than in the quote? Then that is additional work. YekTech always reports this in advance and only starts after the client agrees.
06Delivery and approval
After delivery the client has 14 days to check the work and report errors. YekTech fixes errors that fall within the assignment free of charge.
The work is approved when the client says so, when the 14 days have passed without a report, or when the website or design has been put into use.
07Prices and payment
The prices are stated in the quote. As long as YekTech uses the Dutch small business scheme (KOR), no VAT is charged.
For larger assignments YekTech may ask for a down payment before the work starts. This will then be stated in the quote. The rest is invoiced on delivery.
An invoice must be paid within 14 days. If it has not been paid, YekTech first sends a reminder. If payment still does not follow, YekTech may pause the work and charge the statutory interest and collection costs.
Subscriptions for hosting and maintenance are invoiced in advance, per month or per year.
08Hosting, domain and maintenance
Where possible, a domain name is registered in the client's name. The domain always remains the client's.
Hosting and maintenance run per month or per year, as stated in the quote. They can be cancelled at the end of the current period, with a notice period of one month.
After cancellation YekTech helps with the move to another party and supplies the website files. YekTech may charge a reasonable fee for this.
YekTech works with reliable hosting providers, but cannot guarantee that a website is always available. Outages at the hosting provider are outside YekTech's responsibility.
09Ownership and rights
After full payment the client receives the rights to what was made specifically for them, such as the design, the texts and the logo. Until then they remain YekTech's.
Standard components, own tools and open-source software that YekTech uses remain the property of YekTech or their makers. The client may use them as part of their website or application.
YekTech may show the work in its portfolio, on the website and on social media, unless the client does not want this. Confidential information is never shown.
10Liability
YekTech is only liable for direct damage caused by YekTech not keeping to the agreements. Liability is limited to the invoice amount of the assignment, or for subscriptions to the amount of the last 6 months.
YekTech is not liable for indirect damage, such as lost revenue or profit, or damage caused by errors in material supplied by the client.
These limitations do not apply in case of intent or gross negligence on the part of YekTech.
The client must report damage in writing as soon as possible, and no later than within 12 months.
11Force majeure
If YekTech temporarily cannot work due to force majeure, such as illness, supplier outages or a major internet outage, the planning shifts. If the force majeure lasts longer than 2 months, both parties may end the assignment. Work already done is paid proportionally.
12Confidentiality and privacy
YekTech and the client keep each other's confidential information secret.
Does YekTech process personal data on behalf of the client, for example of the client's customers? Then we sign a data processing agreement. You can read more in our privacy statement.
13End of the assignment
Both parties may end the assignment early. Work already done is then paid for.
YekTech may stop the assignment if the client does not pay after a reminder or goes bankrupt.
14Disputes and applicable law
Dutch law applies to all agreements with YekTech.
If we cannot work it out together, the party with the problem submits it to the competent court in the district of Gelderland, the Netherlands.
